1. Acceptance of Terms

By accessing or using DebtPrepAI ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms constitute a legally binding agreement between you and DebtPrepAI ("we," "us," or "our"). By creating an account, accessing our website, or using any of our services, you acknowledge that you have read, understood, and agree to these Terms.

2. Eligibility

To use DebtPrepAI, you must:

• Be at least 18 years of age
• Be a legal resident of the United States
• Have the legal capacity to enter into binding contracts
• Provide accurate and complete registration information
• Not be prohibited from using the Service under applicable laws

By using the Service, you represent and warrant that you meet these eligibility requirements.

3. Service Description

3.1 What We Provide

DebtPrepAI is an educational technology platform that:

• Aggregates your financial data (credit reports, bank transactions, income information) with your consent
• Uses AI/ML models to analyze your debt load, payment capacity, and financial hardship
• Generates educational materials including budget sheets, hardship letters, and DMP estimates
• Prepares document packages for review by certified credit counselors
• Provides referrals to nonprofit credit counseling agencies

IMPORTANT: All information, analysis, estimates, and recommendations provided by DebtPrepAI are for educational purposes only and do not constitute financial advice, legal advice, or professional recommendations. You should consult with a certified credit counselor, financial advisor, or attorney for personalized guidance.

4. Account Registration & Security

4.1 Account Creation

To use certain features, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password confidential and secure
• Notify us immediately of any unauthorized access to your account
• Accept responsibility for all activities under your account

4.2 Account Termination

We reserve the right to suspend or terminate your account if you:

• Violate these Terms or our policies
• Provide false or misleading information
• Engage in fraudulent or illegal activity
• Abuse or misuse the Service
• Remain inactive for more than 2 years

5. User Consent & Authorizations

5.1 Credit Report Authorization (FCRA)

By using the Service, you authorize us to:

• Obtain your consumer credit report via a soft pull (does not affect your credit score)
• Use your credit report data for DMP preparation and analysis
• Store your credit report for up to 90 days (auto-deleted unless you opt-in for longer storage)

FCRA Notice: You have the right to dispute inaccurate information in your credit report directly with the credit bureau. See our FCRA Consumer Rights page for details.

5.2 Bank Account Authorization (Plaid)

By connecting your bank account via Plaid, you authorize us to:

• Access your transaction history and account balances (read-only)
• Analyze your income, spending patterns, and cashflow
• Store bank data for up to 90 days or until you disconnect your account

Note: We have read-only access and cannot withdraw funds or make transactions.

5.3 Electronic Communications

By using the Service, you consent to receive electronic communications from us, including:

• Transactional emails (account confirmation, password resets, document delivery)
• Service updates and important notices
• Marketing communications (you may opt-out)

6. Fees & Payment

6.1 Service Fees

DebtPrepAI may offer both free and paid service tiers:

• Free Tier: Basic intake and preliminary analysis
• Paid Tier: Full credit pull, comprehensive analysis, PDF document package

Current pricing is displayed on our website. We reserve the right to change pricing with 30 days' notice.

6.2 Payment Terms

• All fees are in U.S. dollars
• Payment is due immediately unless otherwise specified
• We accept credit/debit cards and other payment methods as displayed
• All sales are final unless otherwise required by law

6.3 Refund Policy

Refunds are provided at our discretion and may be issued if:

• Technical issues prevent you from accessing the Service
• We are unable to obtain your credit report due to our error
• Required by applicable consumer protection laws

Refund requests must be submitted within 14 days of purchase to support@debtprepai.com.

7. User Responsibilities

You agree to:

• Provide accurate and truthful information about your financial situation
• Review all generated documents for accuracy before sharing with counselors
• Consult with a certified credit counselor before making financial decisions
• Understand that DMP estimates are approximations, not guarantees
• Comply with all applicable laws when using the Service
• Not use the Service for fraudulent or illegal purposes
• Not attempt to reverse engineer, hack, or compromise the Service
• Not share your account credentials with others

8. Intellectual Property

8.1 Our Content

All content on DebtPrepAI, including text, graphics, logos, AI models, software, and user interface designs, is owned by DebtPrepAI or its licensors and protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or create derivative works from our content without written permission.

8.2 Your Content

You retain ownership of the financial information and personal data you provide. By using the Service, you grant us a limited, non-exclusive license to use your data to:

• Provide the Service as described
• Generate documents and analysis for you
• Improve our AI models (using anonymized/aggregated data only)

This license terminates when you delete your account, except for anonymized data used in aggregate analytics.

9. Disclaimers & Limitations of Liability

9.1 No Warranties

We do NOT guarantee:

• Approval for a Debt Management Plan by creditors or counseling agencies
• Specific debt reduction amounts or interest rate reductions
• Improvement in credit scores or financial outcomes
• Accuracy of credit reports (contact the bureau for disputes)
• That our estimates will match actual DMP terms offered by counselors

9.3 Limitation of Liability

10. Indemnification

You agree to indemnify, defend, and hold harmless DebtPrepAI and its affiliates from any claims, damages, losses, liabilities, and expenses (including attorney fees) arising from:

• Your use or misuse of the Service
• Violation of these Terms
• Violation of any applicable laws or regulations
• Infringement of third-party rights
• Inaccurate or fraudulent information you provide

11. Third-Party Services

Our Service integrates with third-party providers:

• Credit Bureaus: For credit report data
• Plaid: For bank account connections
• AI Providers: For conversational AI (OpenAI/Anthropic)

We are not responsible for the performance, accuracy, or availability of third-party services. Your use of third-party services is governed by their respective terms and privacy policies.

12. Dispute Resolution & Arbitration

12.1 Informal Resolution

Before filing any legal claim, you agree to first contact us at support@debtprepai.com to attempt to resolve the dispute informally.

12.2 Binding Arbitration

If informal resolution fails, any disputes shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules.

Exceptions: Either party may bring claims in small claims court if the claim qualifies.

12.3 Class Action Waiver

IMPORTANT: You agree that disputes will be resolved on an individual basis only. You waive the right to participate in class actions, class arbitrations, or representative actions.

13. Governing Law & Jurisdiction

These Terms are governed by the laws of the State of [Your State], United States, without regard to conflict of law principles.

Any legal actions not subject to arbitration shall be brought exclusively in the state or federal courts located in [Your County/State].

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

Continued use of the Service after changes constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Service and delete your account.

15. Severability & Entire Agreement

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and DebtPrepAI regarding the Service.
